The principal shareholders, Bharti Group and Vodafone, have opted for a share-swap arrangement instead of the original plan, under which Bharti Infratel would acquire Vodafone Idea’s entire 11.15% stake in Indus Towers for about Rs 4,500 crore in cash.

​​In an earnings call, Akhil Gupta, Chairman of Bharti Infratel, also said the company believes in returning surplus to shareholders be it by way of dividend or buyback, and while it has used the dividend route, the firm is open to considering buyback, in case there is any scope.

“The merger deal has been an overhang on the company, but, the circumstances have been such that the uncertainty created has forced us to defer it and carry forward the long-stop date,” Bharti Infratel Chairman Akhil Gupta said.

The company’s fiscal fourth quarter costs increased 8 per cent.

“Bharti Infratel’s continued to report muted operating performance with negligible tenancy addition coupled with higher other expenses which led to lower than expected PAT,”ICICIdirect said in a note.

The EBITDA margin shrank 450bp QoQ to 36.5 per cent (510 bp miss) on decline in rental EBITDA.

Shares of Bharti Infratel Ltd. traded -1.48 per cent down in trade at 09:49AM on Friday .

Bharti Infratel's 4QFY20 performance mirrors the weak tenancy outlook it is facing due to ongoing consolidation among telecom operators.

Bharti Infratel reported a 7 per cent increase in consolidated net profit for the March quarter at Rs 650 crore.

Telecom tower company Bharti Infratel posted a net profit of ₹650 crore for the fourth quarter of 2019-20, up 7% on annual basis, aided by tariff hikes and increase in data consumption, which in turn led telecom operators to increase spending on tower infrastructure.

The board of the company increased the deadline of its merger with Indus Towers to June 24.

The Board of Directors of the Company met earlier today and took note of the status of Scheme of arrangement between Indus and Bharti Infratel. Since the conditions precedent to be fulfilled for the Scheme to become effective cannot be completed by the extended Long Stop Date i.e. April 24, 2020, the Board of Directors have further extended the Long Stop Date till June 24, 2020, subject to agreement on closing adjustments and other conditions precedent for closing, with each party retaining the right to terminate and withdraw the scheme. The final decision to implement the scheme will be taken by the Board keeping in mind the best interest of the Company and its stakeholders.

It had reported a net profit of Rs 607.60 crore in the corresponding quarter last year.
